FABA MEMBERSHIP AGREEMENT |
1. Acquisition of Membership May become Member of FABA ("The French American Bar
Association"): Any attorney in good standing in the jurisdiction where the attorney
has been admitted; any legal practitioner duly engaged in the practice of law;
- Any law student who graduated from law school and is awaiting admission to the Bar;
any law student currently enrolled in law school;
- Any individual of distinction deemed valuable to FABA and to the fulfillment of
its purposes, appointed by the Board at its discretion. Classes of members, membership
dues, benefits and privileges for each class shall be determined by the Board of
Directors at its discretion. Membership shall be limited to those who are eligible
and are current in their Dues. Members must be in good standing with FABA to enjoy
the benefits and privileges granted herein.

2. Benefits of Membership Benefits of membership include:
- The right to be referenced on FABA members directory. Members have the exclusive
access to such directory.
- The right to attend the annual and special meetings at a place within the State
of New York at a time determined by the Board of Directors. At the annual meeting,
the President and Treasurer shall report on the activities and financial condition
of FABA.
- The right to submit legal materials for publication on FABA web site. Such publication
will be decided by the Board of directors.

3. Rights of Termination. Membership is awarded for a one-year period. Membership
of any Member shall terminate upon (i) resignation by such Member from membership
in FABA upon written notice at any time to any member of the Board of Directors;
or (ii) without notice upon the failure of such Member to remit his or her Dues
to FABA within sixty (60) days after the date of notice for such Dues. The Board
of Directors may, upon a majority vote of the Directors in office, suspend or terminate
the membership of any Member upon the violation by such Member of the Membership
Agreement. Termination of Membership for any of the reasons stated hereof will not
trigger any refund of the Membership dues paid to FABA.

4. Obligations of the Member. Membership in FABA may not be assigned, alienated,
pledged, hypothecated or otherwise transferred. Members understand and warrant that:
- Members will not post materials that violate the rights of others including rights
of privacy, intellectual property rights such as copyrights, trademarks and the
like;
- Members will not use FABA website or other interactivity to post commercial or
Spam messages;
- Members will not interfere with the use of the site by others, whether by technical
or other means;
- Members will not reproduce or distribute the books, records and membership list
of FABA without the prior approval of the Board of Directors; Member represents
and warrants that he or she will not violate these obligations and agrees to hold
FABA harmless in the event of any such violation.

5. Rights of FABA to the Material. FABA warrants that it will not use information
provided by Members, such as biographical and contact information, for any purposes
other than FABA internal business. FABA will not disseminate such information to
non-members of the Assocation without prior approval of the Member concerned. Members
who submit materials for publication on FABA website shall remain holders of the
copyright and other intellectual property rights to those materials. FABA shall
only have the right to post the materials on FABA website and keep a copy of such
materials.

6. Privacy Policy. FABA uses personally identifiable information to permit it to
contact members regarding FABA activities, services and products; to permit members
to contact each other directly; and to process requests and order forms. FABA website
may be used to order products and services, pay dues, and reserve and pay for programs.
These activities are conducted in a secure environment. FABA provides contact information
on its website of members who have provided that information, and the contact information
is accessible on the password-protected portion of the website designed for members-only
access. In addition, members may edit the contact, biographic and demographic information
in the database, and each individual member's data is accessible to that member,
through use of that member's password. We share your personal information only with
companies with whom FABA sponsors products and services for the benefit of our members.
FABA does not use this information for any commercial purpose and does not make
it available to third parties. FABA is not responsible for the privacy policies
or practices of any website linked through FABA website.

7. Disclaimer of Warranties
The site and everything contained on the site, including, without limitation, text,
information, graphics, and links, are provided on an "as is" basis without representations
or warranties of any kind. To the maximum extent permitted by law, FABA disclaims
all representations and warranties, express or implied, with respect to the site,
anything contained on the site, or the use of the site or anything contained on
the site, including but not limited to warranties of merchandability, fitness for
a particular purpose, title, non-infringement, freedom from computer virus, implied
warranties arising from course of dealing or course of performance or any other
warranties under article 2 of the Uniform Commercial Code. Without limiting the
foregoing, FABA makes no representations or warranties of any kind with respect
to the security of any data or information transmitted to the site or the accuracy
of any information contained on the site. To the maximum extent permitted by law,
neither FABA nor any of its parents, subsidiaries, affiliates, agents, representatives,
or licensors shall be liable for any direct, indirect, special, punitive, incidental,
exemplary, consequential or other damages arising out of or in connection with the
use (or inability to use) this site, the failure of performance of this site for
any reason, or the use of the information or materials available from the site.
